Henrique Falleiros Mareze

Henrique has nearly 10 years of experience in corporate law, mergers and acquisitions (M&A), private equity, and venture capital. He has developed strong expertise in providing advisory services to individuals and legal entities on corporate and transactional matters, with a particular focus on mergers, acquisitions, and general investments.

Henrique advises both national and international clients across various sectors, including technology, services, consumer goods, startups, fintechs, and more. He has been involved in significant transactions, including the buying and selling of equity interests, foreign investments, exit strategies for startups, corporate reorganizations, joint ventures, and strategic partnerships. Henrique also has experience in resolving corporate conflicts.

• Advised on the acquisition of a marketing automation company by one of Brazil’s largest technology companies, in what became the country’s largest Software-as-a-Service (SaaS) transaction (valued at over BRL 1 billion).

• Participated in the joint venture between Brazil’s leading technology company and one of Latin America’s largest financial institutions, aimed at creating a company in the corporate financial services sector.

• Assisted in the full-sale transaction of a supermarket and produce retail chain to one of Brazil’s largest retailers, advising a Swiss private equity fund manager.

• Collaborated on several startup and technology company exit transactions across various sectors—including real estate, logistics, and SaaS—advising both domestic and publicly listed buyers.

• Advised on the divestment of one of Brazil’s largest beverage companies from its investment in a restaurant reservation startup.

• Participated in the sale of UniDub, a leading dubbing company, to Iyuno, a global media and entertainment group.

• Acted as deal counsel in the acquisition of Smart NX, a customer engagement solutions company, by Nuvini, a SaaS business consolidator.

• Advised Outcast Ventures in its investment round in The Coffee, a minimalist coffee shop chain, in a deal led by Monashees.
